1. Acceptance of Terms

By accessing or using the website at rightapps.net or engaging Rightway Systems Pvt. Ltd. for software development, ERP, AI automation, or any other services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please discontinue use immediately.

2. Services Provided

Rightway Systems provides enterprise software development services including, but not limited to:

• Custom web and mobile application development
• Enterprise Resource Planning (ERP) systems
• AI chatbots and business process automation
• ZATCA Phase 2 and FBR-compliant invoicing solutions
• Learning Management Systems (LMS)
• POS and retail management platforms
• Cloud infrastructure and DevOps services
• Custom LLM fine-tuning and AI integration

Specific deliverables, timelines, and payment terms are governed by individual project agreements or Statements of Work (SOW).

3. Intellectual Property

All content on this website — including text, graphics, logos, and code — is the property of Rightway Systems Pvt. Ltd. and is protected under applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written consent.

Intellectual property rights for custom-developed software are governed by the relevant project contract. Unless otherwise agreed in writing, ownership transfers to the client upon full payment.

4. Client Responsibilities

• Provide accurate and complete project requirements in a timely manner.
• Designate an authorised point of contact for project communications.
• Make agreed payments on schedule as per the SOW.
• Ensure all content, data, and materials provided to us do not infringe third-party rights.

5. Payment Terms

Payment terms are defined in individual project contracts. General terms:

• Invoices are due within 30 days of issuance unless otherwise agreed.
• Late payments may incur a 2% monthly finance charge.
• Rightway Systems reserves the right to suspend services for accounts more than 60 days overdue.
• All prices are exclusive of applicable taxes (GST, VAT) unless stated otherwise.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary information shared during the engagement. This obligation survives termination of the agreement for a period of 3 years.

7. Warranty & Support

Rightway Systems warrants that delivered software will perform materially as described in the SOW for 90 days post-delivery. Post-warranty support and maintenance are available under separate support agreements. We do not warrant uninterrupted or error-free operation of third-party integrations.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Rightway Systems' total liability for any claim arising from our services shall not exceed the total fees paid by the client in the 3 months preceding the claim. We shall not be liable for indirect, incidental, consequential, or punitive damages.

9. Termination

Either party may terminate a project engagement with 30 days' written notice. The client remains liable for all work completed and expenses incurred up to the termination date. Rightway Systems may terminate immediately for non-payment or material breach of these Terms.

10. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Islamic Republic of Pakistan. Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be referred to binding arbitration in Lahore, Pakistan, under the Arbitration Act 1940.

For clients in Saudi Arabia or the UAE, local regulatory requirements take precedence where mandated by applicable law.

11. Website Use

You agree not to use this website to transmit any unlawful, harmful, or infringing content, to attempt unauthorised access to our systems, or to engage in any activity that disrupts website operation. We reserve the right to restrict access at our discretion.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Changes are effective immediately upon posting to this page with an updated "Last updated" date. Continued use of our website or services constitutes acceptance of the revised Terms.
